LastBot, also referred to as “We”, is a Finnish limited liability company, located at Kimmeltie 10, 90630 OULU, Finland or our affiliate as defined in the applicable Service Order.
You, the recipient of LastBot Services, are the Customer.
You can place Service Orders to request specific LastBot Services, which include the Services you order, pricing, and the Service Term.
The pricing may include the following Fees: Activation Fee (one-time cost when starting a new service), Service Fee (fee for the service during the Service Term), and Resource Fees (fees for the use of external resources paid in arrears).
All Fees are clearly presented in the Service Order.
In case and to the extent the Service Fee is based on information from you (for example in case of performance-based pricing such as revenue or profit share), you will report and pay that to LastBot monthly, and will grant LastBot auditing rights.
You are only allowed to use the Services for legal purposes and in accordance with the MSA and Service Order. Your order is valid for the Service Term and will renew if not terminated. You have the right to terminate the Service Order at any time, but there are no refunds for Fees.
LastBot may change prices at any time, but your current Service Orders are not affected.
Activation Fee and Service Fee must be paid in advance. For business customers, LastBot may provide Credit and invoice Fees in arrears.
LastBot provides technical support via https://support.lastbot.com.
The term of MSA is as long as You have active Services. Either Party may terminate the MSA in the event of a breach.
LastBot has the right to suspend or terminate Services if We believe your use violates laws, compromises the security or integrity of LastBot or its Services, or if you fail to pay your bills.
You are responsible for all activities under your LastBot account and password.
Both you and LastBot shall independently maintain information security practices and systems.
If either party experiences a breach of security related to the MSA, they must inform the other party.
Confidential Information may be shared between you and LastBot, including proprietary and/or confidential information about business, technical, or financial activities.
Your Confidential Information also includes the data and information you transmit or store using the Services.
LastBot's Confidential Information includes information about the use of Services and any improvements made to the Services, including through machine learning and artificial intelligence.
Both parties agree to keep Confidential Information confidential.
LastBot may share Confidential Information with subcontractors under a confidentiality agreement.
You authorize LastBot to use Customer Data, which refers to identifiable information or data, which is collected via Services or provided by You, for providing Services and for technical support. You authorize LastBot to use any non-individually identifiable data to troubleshoot or improve Services.
LastBot will not share Customer Data without your authorization, except when required by Laws. LastBot may purge Customer Data in accordance with LastBot Privacy Policy.
You represent and warrant that You have the authority to provide Customer Data to LastBot and comply with all Laws including requirements for notices or consents.
LastBot has the right to limit or modify Services to ensure compliance with Laws.
You assume liability and responsibility for Your use of Services. You shall comply with “Do Not Call” laws and regulations as well as honor do-not-contact requests.
You approve that all calls and messages may be always recorded, including when a call is placed on hold or after a call is transferred to another party.
You agree that LastBot may automatically include notices and/or consents to satisfy Laws.
All Services and related information are subject to U.S. export control laws and may have export or import requirements in other countries. You acknowledge and agree to comply with these laws and regulations.
The Services provided may include features that can work with other services not provided by LastBot (Non-LastBot Services), such as CRM systems. You are responsible for the use of these Non-LastBot Services, and LastBot does not guarantee their interoperation or continued availability.
Parties warrant they have the power to enter into the MSA and to comply with Laws in their performance under MSA.
LastBot Services are provided “AS IS” and “AS AVAILABLE” basis. LastBot does not guarantee uninterrupted service, meeting of business requirements, or specific results from the Services. Services may be temporarily inaccessible due to maintenance or circumstances beyond LastBot's control.
LastBot indemnifies You and Your employees for personal injury, property damage, LastBot's breach of the MSA, and infringement of intellectual property rights by the LastBot Services.
You indemnify LastBot and its employees for personal injury, property damage, your breach of the agreement, or unauthorized, illegal, or fraudulent use of the Services.
No party shall be liable for indirect or consequential losses. Except in case of intentional act or gross negligence, either party’s liability is limited by amounts calculated based on the fees paid by the Customer to LastBot.
Proprietary Materials means all patents, copyrights, design rights, trademarks, service marks, trade secrets and other worldwide intellectual property or proprietary rights held by a party.
LastBot’s Proprietary Materials include Services with modifications and customizations and Service Data (performance data, aggregated information, tooling, transcripts, learnings, or processes developed via the Services or their use). Customer has the right to access and use Services under the terms of MSA.
As between LastBot and You, Customer Data is Your Proprietary Material. LastBot has the right to use Customer Data to provide Services under the terms of MSA.
Neither party gains any rights, titles, or interests in the other party's Proprietary Materials.
The MSA is governed by the laws of the State of California. Venue for actions shall be Sacramento, California.
In addition, MSA contains typical terms for Force Majeure, Subcontractors, Assignment, Notices, No-Waiver, Arbitration, Entire Understanding, Interpretation, and Execution in Counterparts.
LastBot reserves the right to amend SMA or Service Order with no less than 30 days’ notice. If you disagree with the amendments, you may terminate the MSA or the amended Service Order.
Press releases or public announcements require consent from both parties, but LastBot is granted a revocable right to use Your name and logo on their website and marketing materials.

Each Service has total maximum capacity, capabilities, and performance determined as set forth below.

LastBot aspires that each Service performs to its specification and to the satisfaction of Customer. A Service’s capabilities are limited to the information available to the Service.
End-user or third-party activity may affect the performance of Services.
LastBot has the discretion to impose or change or remove technical, commercial or performance Limitations to ensure a sustainable delivery of Services and performance targets are met, and to prevent excessive use of resources. Some services have predefined Hard Limits.
If the ordered Service capacity is insufficient, the Customer can choose to upgrade or buy more Services.
You may not use the Services or to cause the Services to be used:

LastBot, also referred to as “We”, is a Finnish limited liability company, located at Kimmeltie 10, 90630 OULU, Finland or our affiliate as defined in the applicable Service Order.
You, the recipient of LastBot Services, are the Customer.
You can place Service Orders to request specific LastBot Services, which include the Services you order, pricing, and the Service Term.
The pricing may include the following Fees: Activation Fee (one-time cost when starting a new service), Service Fee (fee for the service during the Service Term), and Resource Fees (fees for the use of external resources paid in arrears).
All Fees are clearly presented in the Service Order.
In case and to the extent the Service Fee is based on information from you (for example in case of performance-based pricing such as revenue or profit share), you will report and pay that to LastBot monthly, and will grant LastBot auditing rights.
You are only allowed to use the Services for legal purposes and in accordance with the MSA and Service Order. Your order is valid for the Service Term and will renew if not terminated. You have the right to terminate the Service Order at any time, but there are no refunds for Fees.
LastBot may change prices at any time, but your current Service Orders are not affected.
Activation Fee and Service Fee must be paid in advance. For business customers, LastBot may provide Credit and invoice Fees in arrears.
LastBot provides technical support via https://support.lastbot.com.
The term of MSA is as long as You have active Services. Either Party may terminate the MSA in the event of a breach.
LastBot has the right to suspend or terminate Services if We believe your use violates laws, compromises the security or integrity of LastBot or its Services, or if you fail to pay your bills.
You are responsible for all activities under your LastBot account and password.
Both you and LastBot shall independently maintain information security practices and systems.
If either party experiences a breach of security related to the MSA, they must inform the other party.
Confidential Information may be shared between you and LastBot, including proprietary and/or confidential information about business, technical, or financial activities.
Your Confidential Information also includes the data and information you transmit or store using the Services.
LastBot's Confidential Information includes information about the use of Services and any improvements made to the Services, including through machine learning and artificial intelligence.
Both parties agree to keep Confidential Information confidential.
LastBot may share Confidential Information with subcontractors under a confidentiality agreement.
You authorize LastBot to use Customer Data, which refers to identifiable information or data, which is collected via Services or provided by You, for providing Services and for technical support. You authorize LastBot to use any non-individually identifiable data to troubleshoot or improve Services.
LastBot will not share Customer Data without your authorization, except when required by Laws. LastBot may purge Customer Data in accordance with LastBot Privacy Policy.
You represent and warrant that You have the authority to provide Customer Data to LastBot and comply with all Laws including requirements for notices or consents.
LastBot has the right to limit or modify Services to ensure compliance with Laws.
You assume liability and responsibility for Your use of Services. You shall comply with “Do Not Call” laws and regulations as well as honor do-not-contact requests.
You approve that all calls and messages may be always recorded, including when a call is placed on hold or after a call is transferred to another party.
You agree that LastBot may automatically include notices and/or consents to satisfy Laws.
All Services and related information are subject to U.S. export control laws and may have export or import requirements in other countries. You acknowledge and agree to comply with these laws and regulations.
The Services provided may include features that can work with other services not provided by LastBot (Non-LastBot Services), such as CRM systems. You are responsible for the use of these Non-LastBot Services, and LastBot does not guarantee their interoperation or continued availability.
Parties warrant they have the power to enter into the MSA and to comply with Laws in their performance under MSA.
LastBot Services are provided “AS IS” and “AS AVAILABLE” basis. LastBot does not guarantee uninterrupted service, meeting of business requirements, or specific results from the Services. Services may be temporarily inaccessible due to maintenance or circumstances beyond LastBot's control.
LastBot indemnifies You and Your employees for personal injury, property damage, LastBot's breach of the MSA, and infringement of intellectual property rights by the LastBot Services.
You indemnify LastBot and its employees for personal injury, property damage, your breach of the agreement, or unauthorized, illegal, or fraudulent use of the Services.
No party shall be liable for indirect or consequential losses. Except in case of intentional act or gross negligence, either party’s liability is limited by amounts calculated based on the fees paid by the Customer to LastBot.
Proprietary Materials means all patents, copyrights, design rights, trademarks, service marks, trade secrets and other worldwide intellectual property or proprietary rights held by a party.
LastBot’s Proprietary Materials include Services with modifications and customizations and Service Data (performance data, aggregated information, tooling, transcripts, learnings, or processes developed via the Services or their use). Customer has the right to access and use Services under the terms of MSA.
As between LastBot and You, Customer Data is Your Proprietary Material. LastBot has the right to use Customer Data to provide Services under the terms of MSA.
Neither party gains any rights, titles, or interests in the other party's Proprietary Materials.
The MSA is governed by the laws of the State of California. Venue for actions shall be Sacramento, California.
In addition, MSA contains typical terms for Force Majeure, Subcontractors, Assignment, Notices, No-Waiver, Arbitration, Entire Understanding, Interpretation, and Execution in Counterparts.
LastBot reserves the right to amend SMA or Service Order with no less than 30 days’ notice. If you disagree with the amendments, you may terminate the MSA or the amended Service Order.
Press releases or public announcements require consent from both parties, but LastBot is granted a revocable right to use Your name and logo on their website and marketing materials.
